End User License Agreement (EULA)

1.1 By creating an account, downloading the App, or using any SwiftWire Services, you acknowledge that you have read, understood, and agree to be bound by this EULA, our Terms & Conditions, and our Privacy Policy.

1.2 This EULA constitutes a binding legal agreement. If you do not agree to any provision of this EULA, you must immediately cease all use of the App and uninstall it from your device.

1.3 You must be at least 18 years of age to use SwiftWire. By accepting this EULA, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement.

2.1 Limited License: Subject to your compliance with this EULA, SwiftWire grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to download, install, and use the SwiftWire App on a compatible mobile device that you own or control, solely for your personal, non-commercial use.

2.2 Scope of License: This license permits you to:

• Access and use the App's features and services for legitimate financial transactions
• Receive updates, patches, and new versions of the App as made available by SwiftWire
• Use the App in accordance with all applicable laws and regulations

2.3 Single User License: This license is granted to you as an individual. You may not share your account, credentials, or access to the App with any other person or entity.

3.1 You expressly agree that you will NOT:

• Copy, reproduce, distribute, or create derivative works of the App or any part thereof
• Modify, adapt, translate, or reverse engineer the App or attempt to extract the source code
• Decompile, disassemble, or otherwise attempt to derive the underlying algorithms or structure of the App
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices from the App
• Rent, lease, lend, sell, sublicense, or transfer the App or your license to any third party
• Use the App for any illegal, fraudulent, or unauthorized purpose
• Circumvent or disable any security features, encryption, or access controls of the App
• Use automated tools (bots, scripts, scrapers) to access or interact with the App
• Interfere with or disrupt the App's servers, networks, or infrastructure
• Introduce viruses, malware, or any harmful code into the App or its systems
• Attempt to gain unauthorized access to other users' accounts or data
• Use the App in any manner that violates applicable laws, regulations, or third-party rights

3.2 Any violation of these restrictions may result in immediate termination of your license and account, and may subject you to civil and criminal liability.

4.1 SwiftWire Ownership: The SwiftWire App, including all software, code, designs, graphics, logos, text, images, user interfaces, trademarks, service marks, and all other content and materials (collectively, "SwiftWire IP"), is owned by SwiftWire LLC and its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

4.2 No Transfer of Ownership: This EULA grants you a license to use the App but does not transfer any ownership rights to you. All rights, title, and interest in and to the SwiftWire IP remain exclusively with SwiftWire and its licensors.

4.3 Trademarks: "SwiftWire," the SwiftWire logo, and other SwiftWire trademarks, service marks, and trade names are proprietary to SwiftWire. You may not use any SwiftWire trademarks without our prior written consent.

4.4 Third-Party IP: The App may incorporate third-party software, APIs, or services (e.g., Firebase, Flutterwave, Stripe, Wise, Binance). Such third-party components are licensed under their respective terms and conditions, which you also agree to comply with.

4.5 User Content: You retain ownership of any data, information, or content you submit through the App ("User Content"). By using the App, you grant SwiftWire a worldwide, non-exclusive, royalty-free license to use, store, process, and transmit User Content solely to provide the Services and as described in our Privacy Policy.

5.1 Automatic Updates: SwiftWire may automatically download and install updates, patches, bug fixes, and new versions of the App to improve functionality, security, and performance. You consent to these automatic updates.

5.2 Feature Changes: SwiftWire reserves the right to modify, add, or remove features, services, or functionality of the App at any time without prior notice. We are not obligated to provide any specific features or maintain backward compatibility.

5.3 Mandatory Updates: Certain updates may be mandatory for continued use of the App. If you do not install required updates, some or all features of the App may become unavailable.

5.4 EULA Updates: SwiftWire may update this EULA from time to time. Material changes will be communicated via email, in-app notification, or a prominent notice on our website. Your continued use of the App after such changes constitutes acceptance of the updated EULA.

6.1 Termination by You: You may terminate this EULA at any time by:

• Uninstalling the SwiftWire App from all your devices
• Closing your SwiftWire account through the app or by contacting support@theswiftwire.com
• Ceasing all use of SwiftWire Services

6.2 Termination by SwiftWire: SwiftWire may terminate or suspend your license and account immediately, with or without notice, if:

• You violate any provision of this EULA, our Terms & Conditions, or Privacy Policy
• You engage in fraudulent, illegal, or abusive activity
• You fail to complete required KYC/AML verification
• Your account remains inactive for an extended period (typically 12+ months with zero balance)
• We are required to do so by law, regulation, or court order
• We discontinue the App or Services (with reasonable notice where feasible)

6.3 Effect of Termination: Upon termination:

• Your license to use the App immediately ceases
• You must uninstall the App from all devices and cease all use
• You will lose access to your account and all associated data (subject to legal retention requirements)
• Any remaining account balance (after deducting fees, liabilities, or chargebacks) will be returned to you within 30 days, subject to verification

6.4 Survival: Sections of this EULA that by their nature should survive termination (including Ownership, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) will remain in effect after termination.

7.1 "AS IS" and "AS AVAILABLE": THE SWIFTWIRE APP AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

7.2 No Warranties: TO THE MAXIMUM EXTENT PERMITTED BY LAW, SWIFTWIRE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the App will be uninterrupted, timely, secure, or error-free
• Warranties regarding the accuracy, reliability, or completeness of information, exchange rates, or transaction processing
• Warranties that defects or errors will be corrected
• Warranties that the App is free from viruses, malware, or other harmful components

7.3 Third-Party Services: SwiftWire relies on third-party providers (Flutterwave, Stripe, Paystack, Wise, Binance, Firebase, etc.) for payment processing, currency conversion, crypto trading, and other services. SwiftWire makes no warranties regarding the availability, performance, or accuracy of these third-party services.

7.4 Market Risks: Cryptocurrency and foreign exchange markets are highly volatile and unpredictable. SwiftWire does not guarantee any specific outcomes, profits, or exchange rates. You acknowledge and accept all risks associated with financial transactions.

7.5 User Responsibility: You are solely responsible for:

• Ensuring your device and internet connection are compatible and secure
• Maintaining the confidentiality of your account credentials
• Verifying the accuracy of transaction details before confirming
• Complying with all applicable laws and regulations in your jurisdiction

8.1 Exclusion of Damages: TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SWIFTWIRE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities
• Loss of data, information, or account access
• Loss of goodwill or reputation
• Costs of substitute services or procurement
• Business interruption or downtime
• Damages arising from unauthorized access, hacking, data breaches, or security incidents
• Damages arising from third-party service failures or market volatility

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF SWIFTWIRE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.2 Maximum Liability: IN NO EVENT SHALL SWIFTWIRE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS EULA OR YOUR USE OF THE APP EXCEED THE GREATER OF:

• (a) $100 USD, or
• (b) The total fees you paid to SwiftWire in the 12 months preceding the claim

8.3 Jurisdictional Limitations: Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such cases, SwiftWire's liability will be limited to the fullest extent permitted by applicable law.

8.4 Essential Purpose: You acknowledge that the limitations of liability in this section are fundamental elements of the agreement between you and SwiftWire, and that SwiftWire would not provide the App without these limitations.

9.1 You agree to indemnify, defend, and hold harmless SwiftWire LLC, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees and court costs) arising out of or related to:

• Your use or misuse of the SwiftWire App or Services
• Your violation of this EULA, our Terms & Conditions, or Privacy Policy
• Your violation of any laws, regulations, or third-party rights
• Your User Content or any content you submit through the App
• Unauthorized access to your account due to your failure to maintain credential security
• Any fraudulent, illegal, or abusive activity conducted through your account

9.2 SwiftWire reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with SwiftWire's defense of such claim.

10.1 Governing Law: This EULA and any disputes arising out of or related to it shall be governed by and construed in accordance with the laws of the United States and the State of Maryland, without regard to conflict of law principles.

10.2 Jurisdiction: You agree that any legal action or proceeding arising out of or related to this EULA shall be brought exclusively in the state or federal courts located in Maryland, USA. You consent to the personal jurisdiction of these courts and waive any objection to venue.

10.3 Arbitration: For disputes under $10,000, either party may elect binding arbitration instead of court litigation. Arbitration will be conducted under the rules of the American Arbitration Association (AAA). Each party will bear its own costs.

10.4 Class Action Waiver: You agree to resolve disputes with SwiftWire on an individual basis only. You waive any right to participate in class actions, class arbitrations, or representative proceedings.

10.5 Injunctive Relief: Notwithstanding the above, SwiftWire may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent unauthorized use, infringement, or violation of its intellectual property rights.

11.1 The SwiftWire App and underlying technology may be subject to U.S. export control laws and regulations, including the Export Administration Regulations (EAR) and sanctions programs administered by the Office of Foreign Assets Control (OFAC).

11.2 You agree not to use, export, re-export, or transfer the App in violation of any applicable export laws or regulations. You represent that you are not:

• Located in, or a resident or national of, any country subject to U.S. embargo or sanctions
• Listed on any U.S. government list of prohibited or restricted parties (e.g., OFAC SDN List, BIS Denied Persons List)
• Engaged in activities related to nuclear, chemical, or biological weapons, or missile technology

If any provision of this EULA is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable, or if that is not possible, it will be severed from this EULA.

This EULA, together with our Terms & Conditions and Privacy Policy, constitutes the entire agreement between you and SwiftWire regarding your use of the App and supersedes all prior or contemporaneous agreements, understandings, or communications, whether written or oral.

SwiftWire's failure to enforce any right or provision of this EULA does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of SwiftWire.

You may not assign or transfer your rights or obligations under this EULA without SwiftWire's prior written consent. SwiftWire may assign this EULA to any affiliate, successor, or acquirer without restriction or notice.
